Terms of Service
The terms governing your engagement with Zlicc Global Private Limited — for the website, for project engagements, and for events we operate. For specific projects, the signed Statement of Work takes precedence.
Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of www.zlicc.com and the services we offer ("Services"), provided by Zlicc Global Private Limited ("Zlicc", "we", "us"), headquartered in Delhi NCR, with supporting offices in Mumbai and Hyderabad.
By accessing the website or engaging us for an event, exhibition, or activation, you agree to these Terms. If you do not agree, please do not use the Services.
For project engagements, the specific Statement of Work ("SOW") signed between you and Zlicc takes precedence over these Terms where the two conflict.
What we provide
Zlicc provides experience infrastructure for events, exhibitions, brand activations, and corporate engagements. Our offering includes:
- ZliccSync — registration, badging, event operations
- ZliccPulse — audience engagement and response systems
- Zlicc AI — digital humans, AI personas, multilingual delivery
- ZliccXR — AR, VR, MR, projection mapping, spatial experiences
- Zlicc Live — broadcast, hybrid webcasts, multi-location streaming
- ZliccStudio — cinematic content, anamorphic LED, launch reveals
Specific scope, deliverables, timelines, and pricing for any engagement are detailed in the SOW.
Eligibility & account use
You must be at least 18 years old and authorised to bind your organisation to these Terms. By engaging us, you represent that:
- You have the legal authority to enter into this agreement on behalf of your organisation
- The information you provide is accurate and complete
- Your use of our Services will comply with all applicable laws and regulations
Your content & brand assets
For project engagements, you may provide us with brand assets, content, data, and other materials ("Client Content"). You retain all ownership and intellectual property rights in your Client Content.
You grant Zlicc a limited, non-exclusive licence to use your Client Content solely for the purpose of delivering the engagement. We will not use your Client Content for any other purpose without your written consent.
You represent that:
- You own or have the rights to all Client Content you provide
- Your Client Content does not infringe any third-party rights
- Your Client Content complies with all applicable laws
Our intellectual property
The Zlicc platform, including all software, design systems, methodologies, AI models, branded experiences, and operational frameworks, is the exclusive property of Zlicc Global Private Limited. Nothing in these Terms transfers ownership of our intellectual property to you.
For project engagements, deliverables created specifically for you under an SOW may include components built on the Zlicc platform. Ownership and licensing of such deliverables is detailed in the relevant SOW.
You may not reverse-engineer, decompile, or attempt to derive the source code of our platform.
Fees & payment
Fees for project engagements are detailed in the SOW. Standard payment terms are:
- 50% on signing of SOW (mobilisation)
- 50% on event delivery / project completion
Specific terms may vary by engagement. Late payments may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
All fees are exclusive of applicable taxes (GST in India and other applicable taxes), which will be charged in addition.
Changes & cancellation
If you need to make changes to an engagement after SOW signing, we will work with you to accommodate where possible. Material scope changes may require an amended SOW with revised pricing and timelines.
Cancellation policy:
- More than 30 days before event — 50% of total fee retained for mobilisation; remainder refunded
- 15-30 days before event — 75% of total fee retained
- Less than 15 days before event — 100% of total fee retained
Cancellations due to force majeure events (natural disasters, government action, pandemic-related restrictions) are handled separately by good-faith negotiation.
Warranties & disclaimers
We warrant that we will perform our Services with reasonable care and skill, in accordance with industry standards and the SOW.
Except as expressly stated, the Services are provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
We do not warrant that the Services will be uninterrupted or error-free, although we take operational steps to minimise downtime (see our SLA terms in the SOW).
Limitation of liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from these Terms or an engagement is limited to the fees paid by you to Zlicc for the specific engagement giving rise to the claim, in the 12 months preceding the claim
- We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, loss of revenue, or loss of data
- This limitation does not apply to liability for fraud, gross negligence, or wilful misconduct, or where such limitation is not permitted by law
Indemnification
You agree to indemnify Zlicc against any third-party claims arising from your Client Content, your use of the Services in breach of these Terms, or your violation of applicable law. We will indemnify you against third-party claims that our platform infringes their intellectual property, subject to standard exclusions detailed in the SOW.
Termination
Either party may terminate an engagement for material breach if the breach is not cured within 30 days of written notice. Upon termination, you will pay for all Services performed up to the date of termination, and we will deliver any work-in-progress to you in commercially reasonable form.
Sections that by their nature should survive termination — including intellectual property, confidentiality, limitation of liability, and dispute resolution — will survive.
Governing law & disputes
These Terms are governed by the laws of India. Any dispute arising from these Terms or our Services will first be attempted to be resolved through good-faith negotiation between senior representatives of both parties.
If unresolved, disputes will be referred to arbitration in Delhi NCR, India, under the Arbitration and Conciliation Act, 1996, by a sole arbitrator. The language of arbitration will be English.
Subject to the above, the courts of Delhi NCR will have exclusive jurisdiction.
Changes to these terms
We may update these Terms from time to time. The "last updated" date at the top of this page reflects the latest revision. Material changes will be communicated through the website or directly where you have an active engagement.
Continued use of the Services after changes constitutes acceptance of the revised Terms.
